Board of Directors

Comprised of seasoned business leaders, CryptoLogic’s Board of Directors provides sound corporate governance. With integrity and insight, the Board executes its duties in line with its mandate to represent the best interests of shareholders.

With only two executive directors, CryptoLogic’s Board is strongly independent. Outside directors meet separately from CryptoLogic’s management and between regular director meetings to foster independent discussion of issues. Our directors are elected by shareholders annually and hold office until the next Annual Meeting of Shareholders.

Robert Stikeman
Chairman, Director
View Biography

Named Chairman of the Board in May 2003, Mr. Stikeman has been a Director since 2002. He has been a partner for the past 16 years in Stikeman, Graham, Keeley & Spiegel LLP, a law firm he was instrumental in establishing. Mr. Stikeman has played a key role in guiding CryptoLogic's legal and compliance strategies since 1996. He is also Chairman of CryptoLogic's Compliance and Nominating Committees.

Thomas Byrne
Director

Appointed as a director of the Company on May 30, 2007, Mr. Byrne is a chartered accountant and was a partner of a global accounting firm before joining Davy Stockbrokers, Ireland's largest brokerage house, in 1987. He was Head of Corporate Finance at Davy Stockbrokers until he set up his own corporate advisory company, Abaris Corporate Advisors Limited, in 2001. He serves as a non-executive director of a number of companies, both public and private, and is actively involved in advising early stage companies in Ireland.

Stephen Freedhoff

Appointed as a director of the Company on March 5, 2008. Mr. Freedhoff brings CryptoLogic more than 30 years' experience as a partner of one of Canada's largest accounting firms. Mr. Freedhoff, a self-employed financial consultant since 1999, has served on the boards and audit committees of several public companies.

David M.J. Gavagan

Appointed as a director of the Company on June 17, 2008, Mr. Gavagan is the co-founder and managing/senior partner of Hibernia Capital Partners, where he has been since 1996.  Hibernia Capital Partners is a private equity fund manager.

Brian Hadfield
President and Chief Executive Officer, Director

Brian Hadfield was appointed as a Director of the Company on May 30, 2007 and President and Chief Executive Officer on February 27, 2008. Mr. Hadfield held progressively more senior positions at Unisys for 21 years, culminating in a five-year assignment as managing director for the U.K., Middle East, Africa and India. In this role, he oversaw a work force that grew from 3,000 to 9,000 employees, managed the transformation from a technology to a services-based company and grew the company's revenue by more than 23 per cent to over $1 billion, most of which was annuity based. Earlier in his career, Mr. Hadfield served as vice president for operations at the Bank of Boston. He holds non-executive directorships at various well-known organizations.

Stephen Taylor
Chief Financial Officer, Director

Stephen Taylor joined CryptoLogic on August 8, 2005 and brings more than two decades of experience in financial and business management, public markets, and mergers and acquisitions.

Mr. Taylor is a Chartered Accountant, having qualified in the top one percent in Canada. He spent the first 11 years of his career at PricewaterhouseCoopers (formerly Coopers & Lybrand) auditing multinational clients in the manufacturing, mining and financial services sectors. Mr. Taylor's subsequent posts included senior financial and corporate roles at Derlan Industries, a TSX listed aerospace company; President and COO of Spellcaster Telecommunications, an early-stage private software company; and Vice President of Mergers and Acquisitions with Ernst & Young's corporate finance practice.

Yap Wai Ming
Director

Appointed as a director of the Company on May 30, 2007, Mr. Yap is a partner of Stamford Law Corporation in Singapore and specializes in commercial law and electronic entertainment and gaming commerce.  Mr. Yap also sits on boards of international companies with activities in Southeast Asia.
